CLERC Signer Agreement

CLERC SIGNER AGREEMENT
Digital version 1.4 · October 19, 2026

Between CLERC, trade name of Florian Meloux, sole proprietor (French micro-entrepreneur, régime BNC), Saint-Jean-le-Blanc, France, SIRET 899 090 971 00016, and you, the Signer named below.

1. WHAT YOU DO
You record short American Sign Language videos of the sentences shown on this platform, from your own webcam, following the on-screen instructions. You decide when and how much you record. You can stop at any time, with no notice and no penalty. Videos already accepted stay covered by this agreement.

2. WHAT YOU EARN
US$0.10 per accepted video. You choose on the platform to be paid every 100 accepted videos (US$10.00) or every 1,000 (US$100.00), and you can change this choice at any time. The payout is created automatically and sent within 7 days to the account you entered on this platform: by ACH transfer to a US bank account, by bank transfer in Canadian dollars to a Canadian bank account, by international bank transfer in US dollars to a bank account outside the US and Canada, or to your Revolut account. All amounts are in US dollars. Payments to a Canadian bank account are converted to Canadian dollars at the exchange rate of the payout day. CLERC pays the transfer fees. A video can be refused if it does not follow the sentence shown or is technically unusable (face or hands out of frame, too dark, cut off). Refused videos are not paid and you can record them again.

3. YOUR FACE IS NEVER PUBLISHED
CLERC never publishes, sells, shares or sublicenses your raw videos, in whole or in part, to anyone, for any purpose. Only face-anonymized derivative formats leave CLERC: skeletal and pose data (keypoints), face-replaced avatar renderings, glosses, translations, annotations and linguistic metadata. Raw videos stay on encrypted, access-restricted storage and are used only to produce those derivatives. Before any distribution CLERC runs a non-re-identification check on the derivatives.

4. RIGHTS
You assign to CLERC, exclusively for five years from delivery and non-exclusively afterwards, worldwide and for the full legal term of protection, the economic rights in your videos and their derivatives, limited to the formats listed in section 3, for two purposes: open datasets published under a free license (for example CC BY or CC BY-SA) and commercial licensing by CLERC or its customers, including the training of AI models, accessibility services and ASL recognition or generation. You keep your moral rights. You choose how you are credited: by name, by pseudonym or anonymously. You confirm that each video is your own performance, that nobody else appears in frame and that no third-party content (music, logos, protected material) is included.

5. YOUR DATA
Raw videos contain personal and biometric data (face geometry, body morphology). By signing you give your informed, written and revocable consent to this processing. CLERC, established in France, applies the GDPR as the protective standard, together with the US federal and state privacy laws that apply to you (including CCPA/CPRA, BIPA, CUBI and the law of your state). You can access, correct or delete your data, or withdraw your consent, by writing to florian@clerc.io. After a withdrawal CLERC stops producing new derivatives from your videos and handles any reasonable deletion request, subject to legal record-keeping duties.

6. YOUR STATUS
You act as an independent contractor. This is not employment: no subordination, no employee benefits. You are responsible for your own taxes in your country and state. CLERC is a non-US payer with no US trade or business and issues no Form 1099; you report this income yourself. On request you provide a Form W-9 or W-8BEN.

7. CONFIDENTIALITY AND LIABILITY
Each party keeps the other's non-public information confidential during the agreement and five years after. Each party is liable only for direct damages caused by its own fault, capped at US$5,000, raised to US$10,000 for willful misconduct, gross negligence or breach of confidentiality. Neither party is liable for events of force majeure.

8. TERM, LAW, DISPUTES
This agreement starts when you sign it and lasts as long as you record for CLERC; sections 3, 4, 5 and 7 survive its end. Either party may end it for a material breach not fixed within 15 days of a written notice. French law governs. The parties try to settle any dispute amicably, through mediation if needed, before going to court.

9. ELECTRONIC SIGNATURE
By checking the box and typing your full name you sign this agreement electronically, with the same effect as a handwritten signature. CLERC records the version of this text, its fingerprint (SHA-256), your typed name, the date and time (UTC), your IP address and your browser. Your signed copy is available at any time from your signer page.
